Travelport completes refinancing plan

Travelport Limited and Travelport LLC, an indirect subsidiary of the Company have announced the consummation of the Company’s comprehensive capital refinancing plan, including the successful completion of the previously announced refinancing transactions relating to the Company’s existing senior notes, subordinated notes and second lien notes and new second lien secured credit agreement and Travelport Holdings Limited’s unsecured payment-in-kind notes.

“Our goals in undertaking this refinancing plan were to extend our 2014 debt maturities, eliminate the debt at Travelport Holdings Limited and to simplify the Company’s capital structure.  We are pleased to announce that we have met these aims in full,” stated Gordon Wilson, President and CEO of Travelport Limited. 

“The successful execution of these transactions allows Travelport’s management team to continue to focus on growing our business through the continued execution of the Company’s strategy, which is gaining some real traction.” Added Wilson.

The New Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The offers and sales of securities pursuant to the Restructuring Transactions were made only (i) in the United States, to “qualified institutional buyers” as defined in Rule 144A under the Securities Act and (ii) outside the United States, to certain non-U.S. persons in offshore transactions in reliance on Regulation S under the Securities Act.
