Arlington Hospitality, Inc.
(Nasdaq/NM: HOST) today announced it has created the position of Vice Chairman as part of
corporate governance reforms aimed at improving succession planning. The position will be held
by an Independent Director. Upon creation, the Board unanimously elected Andrew E. Shapiro
to this position.
As previously announced on December 12, 2002, the Board separated the Chairman position
from the CEO position and named an Independent Director, Kenneth M. Fell, to be Chairman.
Mr. Fell commented, “Mr. Shapiro has demonstrated his dedication, commitment, and
independent leadership since joining the Board, and will continue to play an integral role in
assisting the Company in attaining its strategic objectives.”
Mr. Shapiro has been a member of Arlington’s Board of Directors since September 2002. He is
Chairman of the Company’s Corporate Governance/Nominating Committee and also a member
of the Compensation and Ad Hoc Committees. Shapiro, 41, is President and Managing Member
of Lawndale Capital Management, LLC, a San Francisco, California investment advisory firm
which controls 472,300 shares of Arlington Hospitality common stock, or 9.4% of outstanding
shares. He is currently a Board Observer of Earl Scheib, Inc. (A: ESH) pursuant to an agreement
with that company’s Board, and he is a member of the National Association of Corporate
Directors. He received a J.D. degree from the UCLA School of Law, a M.B.A. degree from
UCLA’s Anderson Graduate School of Management and a B.S. in Business Administration from
University of California -Berkeley’s Haas School of Business.
